material如何确认呢，比如A公司为上市公司，B为非上市，B公司CEO告诉我B和A有重大合同，或者B公司CEO说A公司会有重组，这算不算material？

This is very judgemental. But you must know the less reliable the information source, the less material the information is

cfa定义的material 指可能会影响价格或者理性的分析师觉得有用的都算
