在NOTE4 P374，P376上面的两个概念似乎很象，

 

1 tag along drag along clause:give management the right to buy an equity stake

   if the private quity firm sells its stake.

2 RATCHET:allocation of equity between stockholder and management of

  the portfolio firm and allows management to increase their allocation,

  depending on firm performance.

 

  是不是RATCHET不用经理自己花钱得到，而TAG CLAUSE要经理自己花钱买那？
