sole proprietorship: A separate organization with a single owner;

partnership: A form of organization that joins two or more individuals together as co-owners;

privately owned corporation: a corporation owned by a family, a small group of shareholders,or a single individual,in which shares of ownership are not publicly sold.

 

公司在清算时只有有限追索权，其他两个有无限追索权，那按照这个逻辑的话，人们应该都开公司，而不会有sole proprietorship 和 partnership的存在了，但是现实中有无数的私营业主和联合经营；如果是corporation的话，如何防止其owner利用有限追索权将公司资产转入个人财产，也就是如何防止侵吞公司财产，请各位帮我屡屡，谢谢大家。
